| Tomkins ordinary shares are listed on the New York Stock Exchange in the form of American Depositary Receipts (ADRs). Each ADR represents four Tomkins ordinary shares. Tomkins is subject to the regulations of the Securities and Exchange Commission (SEC) in the USA as they apply to foreign companies, and files with the SEC its Annual Report on Form 20-F and other information as required. |

You can do this through a stockbroker or your bank. However,
internet and telephone share dealing services have been arranged
through Equiniti, our Registrars, which provides a simple way of
buying or selling Tomkins ordinary shares. For internet dealing you
should log on to www.shareview.co.uk/dealing. Existing
shareholders will need their shareholder reference number which can
be found on their share certificate or dividend tax voucher.
The commission rate for Internet dealing is 0.5% with a minimum
charge of £15. For telephone dealing please call 0845 603
7037 between 8:30am and 4:30pm, Monday to Friday; the commission
rate for share transactions by telephone is 1% with a minimum
charge of £25. A weekly postal dealing service is also
available through Equiniti and a form together with terms and
conditions can be obtained by calling 0871 384 2248; commission for
the postal service is 1% with a minimum charge of £10.

Please fill out a Request for Change of Address Form and send it
by post to our Registrars, Equiniti. If you hold shares in joint
names, the notification to change address must be signed by the
first named shareholder. Equiniti will be able to help you with any
questions you may have about completing
the form.

You should notify the Registrars, Equiniti, in writing of any
change to your name, providing documentary evidence, such as a copy
of your marriage certificate or change of name by deed poll and
enclose your share certificate for amendment. If you need un-cashed
dividend cheques to be reissued in your new name, please also
include them in your envelope.

Please contact the Registrars, Equiniti, at your earliest
opportunity. They will assist you with the documentation required
and be able to make the process as straightforward as possible for
you.

At some point you may wish to transfer some or all of your
shares to someone else. To do this you will need to complete a
Stock Transfer Form. Please contact the Registrars, Equiniti, to
get a copy of this form. This form should be fully completed and
returned with your share certificate representing at least the
number of shares being transferred. Equiniti will then process the
transfer and issue a balance share certificate to you if
applicable. Equiniti will be able to help you with any questions
you may have about completing the form.

If you lose your share certificate, or it has been stolen, you
should inform the Registrars, Equiniti, immediately. A record of
the missing share certificate will be made to prevent it being used
and a letter of indemnity will be sent to you to sign. In signing
this indemnity, you are confirming that if the missing share
certificate subsequently comes to light, you will return it to
Equiniti to be cancelled. A replacement certificate will then be
sent to you.

| Yes, simply log on to Equiniti’s Shareview website at
www.shareview.co.uk and register your
preference. You will then be notified when we mail out documents to
shareholders and be directed to where you can pick up the documents
electronically.

and send it by post to Equiniti. Equiniti will be able to help you
with any questions you may have about completing the

You can log onto Equiniti’s Shareview website at
www.shareview.co.uk, where you will be able to
check your details, including your shareholding, dividend payments
and various transactions. The service is secure, free and easy to
use. You will need your shareholder reference number to access this
service; this can be found on your share certificate or from a
dividend tax counterfoil. You will be asked to select your own PIN
and a user ID will be posted to you.
